Constitution of Surabaya Chinese Chamber of Commerce (Trial Version)

Chapter I. General provisions

Article 1 The official name of the Chamber shall be the Surabaya Chinese Chamber of Commerce in Indonesia.

Article 2 Nature of the Chamber: A non-profit social welfare organization legally registered with the Indonesian government.

Article III. Purpose of the organization:

Under the premise of strictly abiding by the Constitution, laws and regulations, and relevant policies of Indonesia, the Chamber makes unremitting efforts to promote exchanges and cooperation among Chinese SMEs in Indonesia, as well as between Chinese SMEs and their counterparts in China, and to organize like-minded people to achieve the sharing of resources and the complementation of strengths, thus achieving a win-win situation. At the same time, it also fulfills the social responsibility of entrepreneurs, and provides public welfare assistance to the extremely poor groups in Indonesia within its capacity.

Article IV. Organization of the Conference:

Chapter II. Scope of activities Article 5.

  • 5. Organize exchanges with Indonesian Chinese organizations, Indonesian business groups and similar groups in China;
  • 6. Invite knowledgeable people from home and abroad to visit and exchange ideas in Indonesia;
  • 7. Operate the official public number of the Chamber;
  • 8. Other commercial activities consistent with the purposes of the Chamber.

Article VI. Public benefit areas

Organize various kinds of public welfare and love activities according to the actual situation.

Article VII. Fellowship areas

Depending on the actual situation, a large-scale mid-autumn celebration is organized once a year.

Chapter III. Membership

Article 8 Membership is voluntary and withdrawal is free. Based on the principle of voluntariness, the person who submits the application materials and meets the requirements after examination and approval can become a member of the Chamber. If a member withdraws from the Chamber, he/she should notify the Chamber in writing and return the membership card. Those who do not fulfill their obligations or do not participate in the activities of the organization for more than one year shall be regarded as automatically withdrawing from the Chamber.

Article 9 Membership: 1. Recognize and follow the constitution of the Chamber: 2. All Chinese businessmen in India who are self-employed in small and medium-sized enterprises; 3. Chinese citizens who have long-term residency in Indonesia; 4. Long-term settlers in Indonesia and ethnic Chinese of Indonesian origin who run their own businesses; 5. Elite talents engaged in business or professional activities in India; 6. Retired senior Indian business operators, supervisors of the state or social organizations.

Article 10 Membership Rights: 1. Members shall have the right to elect, be elected and vote; 2. Members shall have the right to put forward suggestions or opinions on various business activities held by the Chamber; 3. If there is a need, members may submit a written application to the Chamber, and upon the study of the presidential office meeting, they may obtain the support and assistance from the Chamber in line with the law and the functions of the Chamber; 4. Supervision of the Chamber's financial income and expenditure; 6. Enjoying the business information and consulting services provided by the Chamber.

Article 11 Obligations of Members: 1. To implement the resolutions of the Chamber; 2. To safeguard the legitimate rights and interests of the Chamber; 3. To complete the work assigned by the Chamber; 4. To pay the membership fee in accordance with the regulations; 5. To reflect the situation to the Chamber and to provide relevant information.

Article XII application for membership: 1, individuals fill out and submit a complete "Surabaya Chamber of Commerce Volunteer Membership Application Form"; 2, the president of the Office of the collective consideration of the meeting; 3, payment of the first year of membership dues; 4, the issuance of membership cards.

Article 13 A member shall be removed from the list after consideration by the President's Office if he/she seriously violates this Constitution.

Chapter IV. Organizational structure

Article 14 The General Meeting of Members shall be the supreme authority of the Chamber:

  • 1. To consider adopting or amending the bylaws of the Chamber of Commerce;
  • 2. Vote to elect or recall the senior leadership of the Chamber;
  • 3. Consider and adopt the annual work report and financial report of the Chamber;
  • 4. Considering and adopting the Chamber's annual work plan, budget report and other major matters;
  • 5. Decide on matters of termination.

Article 15 The President's Office shall be the executive body of the General Assembly and exercise the highest authority of the Chamber. Its members are composed of the President, Executive Vice-President and Vice-President, and its powers:

  • 1. Organize a general meeting of members;
  • 2. Approve the status of delegates to the General Assembly of Members;
  • 3. To implement the resolutions of the General Assembly of Members;
  • 4. Finalize the annual work report, financial report and draft work plan of the General Assembly of Members;
  • 5. Finalize membership application or membership removal;
  • 6、Responsible for the daily official management of the Chamber of Commerce;
  • 7. Decide on other temporary matters than those provided for in the present statute.

Article 16 The Secretariat shall be a permanent working organization of the Chamber under the direct control of the President's Office, and the Secretary General shall be fully responsible for the day-to-day operation of the Chamber.

Article 17 The general meeting of members shall be convened once a year. The congress shall be valid only if more than two thirds of the members are present, and the voting on matters shall be passed by more than half of the members present to be effective. For general matters, the general meeting can use video, e-mail, microblogging and other network methods to realize remote participation and voting by some members. If there is no clear indication of approval, opposition or abstention on a voting matter, it is deemed to be in favor of the majority voting opinion of the participants.

Article 18 The Office of the President is routinely held once a week. But according to the actual work, can increase or decrease the frequency. President's office meeting should be more than two thirds of the members present in order to convene, and its resolution shall be adopted by more than two thirds of the number of people attending the meeting in order to take effect.

Chapter V. Institutional leadership

Article 19 The Chamber shall have a president, an executive vice-president and a number of vice-presidents at the highest decision-making level; and a founding president, honorary presidents and permanent honorary presidents at non-leadership positions.

Article 20 The President shall be responsible for the overall work of the Chamber and shall exercise the following powers and functions:

  • 1、Convene and preside over the president's office meeting;
  • 2. Nominate a list of proposed candidates for appointment as Vice-President, Secretary-General or Under-Secretary-General;
  • 3. To guide the Secretariat in carrying out the day-to-day work of the Chamber;
  • 4. Organize and formulate the development plan and objectives of the Chamber of Commerce;
  • 5. Approve large expenditures of the Chamber of Commerce.

Article 21 The Standing Vice-President and Vice-President shall exercise the following powers and functions:

  • 1、Assist the president to carry out the overall work of the chamber, according to the actual needs of the executive vice president in the president entrusted by the president of the president's power;
  • 2、According to the president's work proposals and requirements, full planning and implementation of the work of the Chamber of Commerce deployment;
  • 3、According to the division of labor to assist the way, the vice-president respectively in charge of outreach, finance, business, public welfare, publicity, paperwork and other departmental work;
  • 4. Collectively study and agree on various work topics proposed by the Secretariat;
  • 5, to complete the president of the other temporary work assignments.

Article 22 The Secretary-General, who may also be the Vice-President in charge of correspondence, shall exercise the following powers and functions:

  • 1, presided over the drafting of the Chamber's rules and regulations, documents and information;
  • 2. Preside over the day-to-day work of the Secretariat;
  • 3. Coordinate and liaise with various departments to carry out daily work and organize the implementation of the annual work plan;
  • 4. Nominate a list of names for employment of the Under-Secretary-General, Heads of Departments, and full-time staff of the Secretariat, and submit it to the President's Office for approval by vote.
  • 5. Handle other daily affairs.

Article 23 The qualifications of the leaders of the Chamber shall fulfill the following five points:

  • 1, in Indonesia's own country, Surabaya business community has a large social impact, and has a strong sense of responsibility and public welfare, rich leadership, organization, execution and coordination ability;
  • 2. The maximum age for appointment shall not exceed seventy years;
  • 3. Physical health, able to maintain normal work;
  • 4. Possessing full capacity for civil behavior conferred by law;
  • 5. Has not been subjected to criminal penalties involving deprivation of political rights.

Article 24 Term of office: President, Executive Vice President, Vice President, Secretary General term of office of three years, the expiration of the term of office by the General Assembly of the members of the election of a new leadership and its team members. Allow unlimited re-election.

Chapter VI. Operating expenses

Article 25 The Chamber shall set up a separate account with dedicated personnel and funds for special purposes. The sources of funding are: financial sponsorships and donations from organizations and individuals from all walks of life; activity fees paid for special events; annual fees paid by members (5j/year for enterprises; 2jt/year for individuals). Income and expenditure of funds reported to the General Assembly of members on an annual basis.

Chapter VII. Termination of the Chamber of Commerce

Article 26 When the Chamber completes its purpose or dissolves itself, or splits or merges itself, or for any other reasons, the President's Office shall propose a motion of termination. The motion of termination shall be passed by the general meeting of the members and reported to the government for the record, and shall be examined and approved by the registration authority. Article 27 Before the termination of the Chamber, a liquidation organization shall be set up under the guidance of the business guiding organs to clear the debts and debts and deal with the aftermath. The remaining property after the termination shall be used for the development of the cause related to the purpose of the Chamber in accordance with the relevant government regulations under the supervision of the business guidance organs and the association management organs.

Bylaws:These bylaws shall come into effect after a vote at the General Membership Meeting, and the final interpretation of these bylaws shall be vested in the Chamber.
